Terms of Service

01The agreement

These Terms of Service ("Terms") are an agreement between you (and the business you represent, "you") and Numen LLC ("Numen," "we," "us"). They govern your use of numen.build, the Numen dashboard, the AI agent we build and operate for you, and its integrations with other services (together, the "Service"). These Terms also serve as the end-user license agreement for Numen's integrations, including with Intuit QuickBooks and Google. If you've signed an order form or proposal with us, it's part of this agreement and controls if it conflicts with these Terms. Our Privacy Policy explains how we handle information.

If you accept these Terms on behalf of a business, you confirm you have authority to bind it.

02The Service

We build a dedicated AI agent around how your business operates, connect it to the tools you choose, and keep operating and improving it. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes during your subscription. We may improve and change the Service over time; if a change materially reduces what you're paying for, we'll tell you first.

03Your account

You're responsible for the people you authorize to direct your numen, for keeping your sign-in details private, and for activity under your account. Tell us right away if you suspect unauthorized use. Your numen follows the permissions you set for your team and contacts.

04AI and your review

Your numen uses artificial intelligence. It can misunderstand instructions, make errors, or produce incorrect results. You agree that:

• You are responsible for reviewing important actions and outputs before relying on them, including invoices, payments, accounting entries, customer commitments, and anything legal, tax, or financial in nature.
• The Service does not provide legal, tax, accounting, or financial advice, and it doesn't replace a qualified professional.
• You can set approval rules (for example, "check with me before sending any invoice"), and we'll build your agent to follow them.

05Connected accounts

When you connect a third-party account (such as Google or Intuit QuickBooks), you authorize Numen to access and act in that account on your behalf, within the scope you approve, to perform the tasks you request. You confirm you have the right to grant that access. Your use of those services remains subject to their own terms, and we're not responsible for their availability or conduct. You can disconnect any account at any time.

06Acceptable use

You won't use the Service to:

• break any law, including laws on spam, telemarketing, consumer messaging consent, and privacy;
• send messages to people who haven't agreed to hear from your business where consent is required;
• harass, deceive, or harm anyone, or infringe anyone's rights;
• access accounts or data you aren't authorized to access;
• interfere with, probe, or reverse engineer the Service, or resell it without our written permission.

We may suspend the Service if needed to stop a violation or protect others, and we'll tell you why.

07Your data

You own your business data, including your messages, files, and data from connected accounts ("Your Data"). You grant us permission to use Your Data only to provide, secure, and support the Service for you, as described in our Privacy Policy. We don't sell Your Data or use it to train AI models. Numen owns the Service itself, including our software, methods, and the know-how we develop building agents, excluding Your Data. If you send us feedback, we may use it without obligation.

08Fees

You agree to pay the fees in your order or plan. Unless your order says otherwise, fees are billed in advance, are non-refundable except where required by law, and exclude taxes. We'll give you at least 30 days' notice before changing your price. If payment is overdue, we may pause the Service after giving you notice.

09Ending service

You can cancel at any time, effective at the end of your current billing period. We can end the Service with 30 days' notice, or immediately if you materially breach these Terms and don't fix it after notice. When service ends, we'll disconnect your connected accounts and, on request within 30 days, export Your Data for you; after that we delete it as described in our Privacy Policy. Sections that by their nature should survive (such as fees owed, disclaimers, and liability limits) survive.

10Disclaimers

We work hard to make your numen reliable, but the Service is provided "as is" and "as available." To the fullest extent permitted by law, Numen disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, and does not warrant that the Service or its AI outputs will be accurate, uninterrupted, or error-free.

11Limitation of liability

To the fullest extent permitted by law, Numen will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from or related to the Service. Numen's total liability for all claims relating to the Service is limited to the fees you paid us in the twelve months before the event giving rise to the claim.

You agree to indemnify Numen against third-party claims arising from Your Data or your violation of these Terms or the law.

12General

These Terms are governed by the laws of the State of Louisiana, without regard to conflict-of-law rules, and disputes will be resolved in the state or federal courts located in Jefferson Parish or Orleans Parish, Louisiana. Neither party is liable for delays caused by events beyond its reasonable control. You may not assign these Terms without our consent; we may assign them in a merger or sale of our business. If any provision is unenforceable, the rest remain in effect. These Terms (with any order form and our Privacy Policy) are the entire agreement on this subject. If we change these Terms materially, we'll notify you before the change takes effect.
